01 Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and ArcosAI Inc. ("ArcosAI", "we", "our", or "us"), a company incorporated in Ontario, Canada. By accessing or using our platform, website, or any related services (collectively, the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms.

If you are accessing the Services on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use the Services.

02 Description of Services

ArcosAI provides AI-powered business intelligence services, including but not limited to:

• Online reputation monitoring and analysis
• Competitor tracking and market intelligence
• Website and conversion insights
• Content and messaging recommendations
• Automated alerts and periodic reporting

ArcosAI reserves the right to modify, update, or discontinue any feature of the Services at any time with reasonable notice to active subscribers.

03 Eligibility and Account Registration

You must be at least 18 years of age and have the legal capacity to enter into binding agreements in order to use our Services. By registering for an account, you represent and warrant that all information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify ArcosAI immediately at support@arcosai.tech if you become aware of any unauthorized use of your account.

04 Subscriptions and Payments

4.1 Subscription Plans

ArcosAI offers subscription-based access to its Services across multiple plan tiers. Details of each plan, including pricing and included features, are available on our website at arcosai.tech.

4.2 Payment Processing

All subscription payments are processed securely through Stripe. By providing your payment information, you authorize ArcosAI to charge your selected payment method for the applicable subscription fees on a recurring basis.

4.3 Cancellation and Refunds

You may cancel your subscription at any time. If you cancel within seven (7) days of your initial subscription purchase, you are entitled to a full refund upon written request to support@arcosai.tech. Cancellations made after the seven (7) day period will take effect at the end of the then-current billing cycle, and no refunds will be issued for any remaining portion of that billing period.

05 Acceptable Use

By using the Services, you agree that you will not:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the platform, its infrastructure, or other users' accounts
• Reverse engineer, decompile, or otherwise attempt to derive the source code of the platform
• Use the Services to transmit any harmful, offensive, defamatory, or otherwise objectionable content
• Scrape, copy, or redistribute any content or data from the platform without prior written authorization
• Misrepresent your identity or affiliation with any person or entity

06 Email and Outreach Communications

ArcosAI conducts outbound email communications on its own behalf for the purpose of acquiring new clients. ArcosAI does not send marketing emails, outreach communications, or any other correspondence on behalf of its clients, nor does it send communications to its clients' customers.

All outbound email communications conducted by ArcosAI are designed to comply with applicable anti-spam legislation, including Canada's Anti-Spam Legislation (CASL) and the United States CAN-SPAM Act.

07 AI-Generated Outputs and Disclaimer of Warranties

The insights, recommendations, reports, and other outputs generated by ArcosAI's platform are produced using artificial intelligence systems, including third-party AI providers such as Anthropic (Claude) and OpenAI (ChatGPT). These outputs are provided for informational purposes only.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARCOSAI PROVIDES THE SERVICES AND ALL AI-GENERATED OUTPUTS ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

08 Client Responsibilities

• You are solely responsible for all decisions, actions, and outcomes arising from your use of the Services
• You will not rely solely on ArcosAI outputs for critical business, legal, financial, or operational decisions without independent verification
• You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations in your jurisdiction
• You will provide accurate and complete information during onboarding and throughout your use of the Services

09 Intellectual Property

9.1 ArcosAI Platform

All content, software, technology, designs, processes, and materials comprising the ArcosAI platform are the exclusive property of ArcosAI Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership rights in the platform or its underlying technology.

9.2 Client Data

You retain ownership of all information and data you provide to ArcosAI. By using our Services, you grant ArcosAI a limited, non-exclusive, royalty-free licence to use, process, and analyze your data solely for the purpose of providing the Services to you.

9.3 Generated Reports

Reports and insights generated by ArcosAI for your account are provided for your internal business use. You may not resell, redistribute, or sublicense these outputs to third parties without ArcosAI's prior written consent.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARCOSAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

In no event shall ArcosAI's total aggregate liability to you exceed the total amount paid by you to ArcosAI in the three (3) months immediately preceding the event giving rise to the claim.

11 Indemnification

You agree to indemnify, defend, and hold harmless ArcosAI Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or data you provide to ArcosAI.

12 Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the Services. ArcosAI may terminate or suspend your access immediately and without prior notice if we determine that you have violated these Terms.

Upon termination, your right to access and use the Services will cease immediately. Provisions that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, indemnification, and limitation of liability.

13 Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. In the event of a dispute, the parties agree to first attempt resolution through good faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through the courts of competent jurisdiction located in Ottawa, Ontario, Canada.

14 Modifications to These Terms

ArcosAI reserves the right to modify these Terms at any time. When we make material changes, we will update the Effective Date and notify active subscribers by email or through the platform with at least fourteen (14) days' notice before the changes take effect.

15 Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and ArcosAI with respect to the Services.
